NUGROW PROVIDER TERMS & CONDITIONS
1. Introduction
Nugrow is a proudly South African tech-powered business development platform designed to connect quality service providers with high-value clients through verified sales leads. We offer a pay-per-lead based lead generation service to approved providers (companies or individuals) who wish to grow their customer base by receiving leads from interested users in their selected regions and service categories. We do not act as agents, brokers, or representatives for the end customer, nor do we guarantee sales outcomes. We simply connect the dots—intelligently and efficiently.
Leads are offered to providers on a first-come, first-served basis, meaning the first provider to accept a lead gets exclusive access to that opportunity.
2. Key Definitions
Unless the context indicates otherwise:
“Commencement Date”: The date the Provider requests Nugrow to begin delivering Leads.
“Lead”: A contact request from a User seeking a quote for a product or service.
“Lead Region(s)”: The geographical areas selected by the Provider to receive Leads.
“Order”: A formal agreement by the Provider, submitted via the Nugrow dashboard or Order Form, specifying regions and categories.
“Provider”: Any entity or individual who subscribes to Nugrow’s Service.
"Approved Provider": A provider that has submitted references and all the required information in order for us to pre-qualify them to receive leads. Nugrow will conduct reference checks, business background verification, and other due diligence to ensure that the provider is reputable, legally compliant, and operationally sound. This includes verifying industry certifications, prior work experience, business registration, and checking for customer complaints. Only once this verification process is complete to Nugrow's satisfaction will the provider be eligible to receive Leads.
“Quote”: The proposal sent by the Provider to a User based on a Lead received.
“Service(s)”: Nugrow’s pay-per-lead generation and delivery model.
“Subscription”: The Provider’s active registration to receive Leads via Nugrow.
“User(s)”: The individuals or businesses requesting quotes.
“Website”: nugrow.co.za and affiliated subdomains.
3. Lead Delivery & Service Scope
Nugrow retains full discretion over how, when, and where Leads are generated.
Leads are offered on a first-come, first-served basis and are assigned to the first provider to claim the lead.
Leads are based on User input and are not guaranteed to result in sales.
Nugrow will transmit verified contact data to the Provider, including name, contact details, service requested, and relevant context.
The Provider agrees that their ratings, reviews, and quotes may be visible to Users and that such feedback can be used in Nugrow’s marketing and quality control.
Important: Nugrow does not guarantee:
That Leads will result in successful contracts;
The User’s financial means or intent;
The accuracy of User-provided data beyond basic verification.
The Provider:
Acknowledges and accepts that Leads do not equal guaranteed business.
Warrants that it is fully compliant with all legal, tax, industry, and data privacy requirements.
Agrees to deliver timely quotes, uphold industry standards, maintain professionalism, and provide warranties or guarantees as customary within the trade.
Consents to periodic quality audits and user feedback reviews conducted by Nugrow.
Indemnifies Nugrow from any loss or dispute resulting from its engagement with Users.
4. Pricing & Payment
For Users:
Our service is always free of charge for Users.
For Providers:
Pricing is per Lead and published on www.nugrow.co.za/pricing.
Prices are in ZAR and exclude VAT.
Leads are offered individually and charged upon acceptance.
Price Adjustments:
Nugrow will notify Providers 8 days in advance of any pricing changes.
Silence = Acceptance. To object, the Provider must notify Nugrow in writing. If objected, the Provider’s Subscription will terminate before the new pricing takes effect.
5. Payment Options
Payments accepted via:
EFT
Debit/Credit Cards (Visa, MasterCard)
Recurring billing (for prepaids)
All card transactions are processed securely via our payment gateway partner, PayGate (Pty) Ltd.
6. Cancellation & Refunds
No automatic refunds are provided.
Refund requests may be considered in Nugrow’s sole discretion and must be submitted in writing within 30 days to support@nugrow.co.za.
Credit for invalid Leads or service errors may be issued after an internal audit.
Nugrow will not refund, reimburse, or transfer credits once a Lead has been accepted by a Provider.
7. Data Handling & Protection
The Provider agrees to:
Handle all User data strictly for the purpose of quoting and servicing that specific User.
Secure all devices, emails, and storage systems handling User data.
Immediately delete data once it’s no longer necessary for operational purposes.
Promptly notify Nugrow and affected Users in the event of a data breach.
By accepting these terms, the Provider confirms they have read and understood Nugrow’s Privacy Policy and will comply fully with the Protection of Personal Information Act (POPIA) and related data regulations.
8. Service Delivery
Lead volume is subject to availability and seasonal demand within the selected Region and Category.
9. Nugrow's Rights
Nugrow may suspend, update, or terminate services at any time.
These terms may be updated periodically—notice will be given in writing and via our dashboard.
We reserve the right to terminate relationships with Providers in cases of:
Non-payment
Repeated negative feedback
Legal or reputational risk
Data misuse or unprofessional conduct
Fraud, impersonation, or referral of Leads to non-approved third parties
Nugrow may publicly or privately warn Users about Providers found to be in breach of service expectations or terms.
10. Legal & Dispute Resolution
These terms are governed by the laws of the Republic of South Africa.
In the event of a dispute, parties agree to resolve it through negotiation within 14 days of written notice.
If unresolved, either party may refer the matter to the appropriate court. Jurisdiction: Cape Town High Court.
